These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “user,” or “customer”) and Shuangxing (“we,” “us,” or “our”), concerning your access to and use of the Site, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto.

By accessing the Site and/or purchasing products from us, you agree to be bound by all of these Terms, including our Privacy Policy and Return & Exchange Policy, which are incorporated herein by reference. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.

1. Eligibility and Account Registration

1.1. Age Requirements: The Site is intended for users who are at least 18 years of age (or the age of majority in your jurisdiction). If you are under 18, you may only use the Site under the supervision of a parent or legal guardian.

Product Display: We make every effort to display as accurately as possible the colors, features, and details of our products (including over 110,000 apparel, footwear, beauty, accessories, and home goods). However, we cannot guarantee that your electronic display will accurately reflect the actual colors or details of the physical products.

3.2. Pricing and Typographical Errors: All prices are listed in U.S. Dollars (USD) unless otherwise specified, and are subject to change without notice. In the event a product is listed at an incorrect price due to a typographical or system error, we reserve the right to refuse or cancel any orders placed for the product listed at the incorrect price, even if the order has been confirmed and your payment method charged. If your payment has already been processed, we will issue a credit/refund.

3.3. Inventory & Order Restrictions: All products are subject to availability. We reserve the right to limit the sales of our products to any person, geographic region, or jurisdiction. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order.

4. Payments and Billing

4.1. Authorized Payment Methods: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You represent and warrant that you have the legal right to use any credit card(s) or other payment method(s) utilized in connection with any transaction.

4.2. Third-Party Payment Processors: Payments are processed securely via external third-party payment gateways. Shuangxing does not store your full financial data on our servers. By submitting your payment info, you grant us the right to provide the information to these third parties to facilitate the completion of your transaction.

5. Shipping, Delivery, and Risk of Loss

5.1. Shipping Policies: Shipping and delivery timelines are estimates and are not guaranteed. Please refer to our Shipping & Delivery page for specific rates and regions served.

5.2. Risk of Loss: All physical items purchased from the Site are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery of the items to the carrier.

6. Returns, Exchanges, and Refunds

All returns and exchanges are governed strictly by our Return & Exchange Policy.

6.1. Returns for a full refund are accepted within thirty (30) days of delivery, and exchanges within sixty (60) days, provided products are unworn, unwashed, and retain original tags.

6.2. Certain products, including but not limited to items explicitly marked as “Final Sale” or “Clearance,” and bulk bridesmaid dress orders (3 or more of the same style), are non-refundable and non-exchangeable under any circumstances.

7. Intellectual Property Rights

Unless otherwise indicated, the Site, including its source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and logos (the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by United States and international copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access the Site for your personal, non-commercial use only.

8. User-Generated Content and Influencer Material

8.1. User Content: If you post reviews, comments, photos, or submit materials (e.g., via social media hashtags associated with Shuangxing), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, and display such content throughout the world in any media.

8.2. Influencer Platforms: Our Site connects and displays content from global fashion influencers. The opinions, styling, and endorsements expressed by third-party influencers represent their own views and do not necessarily reflect the official policies or endorsements of Shuangxing.

9. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. Prohibited activities include, but are not limited to:

  • Using the Site for any unauthorized or illegal commercial purposes.

  • Circumventing, disabling, or interfering with security-related features of the Site.

  • Engaging in data mining, robots, scraping, or similar data gathering and extraction tools.

  • Uploading or transmitting viruses, Trojan horses, or malicious code that disrupts the operation of the Site.

  • Attempting to impersonate another user or person.

10. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS SOLD THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SHUANGXING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE, THE PRODUCTS, AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THIS SITE.

11. Limitation of Liability

IN NO EVENT WILL SHUANGXING, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR PRODUCTS PURCHASED THEREFROM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

You agree to defend, indemnify, and hold harmless Shuangxing, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Site; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; or (4) your violation of the rights of a third party, including but not limited to intellectual property rights.

13. Governing Law and Dispute Resolution

14.1. Governing Law: These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of California (or alternative corporate nexus state, e.g., State of Delaware), without regard to its conflict of law principles.

14.2. Dispute Resolution & Binding Arbitration: Any dispute arising out of or relating to these Terms, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA). The arbitration shall be conducted on an individual basis; class actions and class arbitrations are not permitted.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms, and you waive any right to receive specific notice of each such change.
